User Terms of Service
Applicable to customers on any plan
THIS IS AN AGREEMENT BETWEEN YOU OR THE ENTITY THAT YOU REPRESENT (HEREINAFTER “YOU”
or “YOUR”) AND CLIOSIGHT

Acceptance of the Agreement
To access our Services, you must be at least 18 years old or of legal age to form binding contracts in your jurisdiction (whichever is older). By using our Services, you confirm your eligibility and agree to both these General Terms and any specific terms applicable to the Service you're using. If you disagree with any terms, please refrain from using the corresponding Service. Your acceptance of the terms is recorded by either clicking a designated button/checkbox or simply by using the Services.Description of Cliosight Service
Our cloud-based software and mobile apps ("Services") help businesses by
streamlining tasks and boosting productivity. Whether you're an individual
professional or part of a larger organization, you can use the Services for
personal, team, or company-wide efficiency. You can connect through any supported
browser – internet access and your own device to get started. You can create content
using your user account, and freely share it to others within or outside your
organization.
Free trial and Beta programs
Sometimes we offer early access to features and services through "Beta Tester" programs.
These let you test-drive them and share your feedback. In case you enroll into beta
programs, Cliosight decides how long each beta runs and when it ends. Beta
services may not become permanent services at the end of the beta program.
Participating in a beta doesn't commit you to buying anything later. Cliosight
reserves the right to end beta programs at any time, with or without notice.
Restrictions on Use
This Agreement further stipulates that, in addition to all other terms and
conditions, you are strictly prohibited from engaging in the following activities:
Sharing Access: Don't transfer the Services or grant access to anyone without our
written permission.
Commercialization: Providing services based on the Services without our written
approval is forbidden.
User License Sharing: Sharing or using user licenses with multiple individuals is
prohibited, except for official license reassignment.
Code Manipulation: Disassembling, reverse engineering, or decompiling the Services
is strictly against the rules (except as permitted by law).
Third-Party Disclaimer: Using third-party links doesn't mean we endorse their terms.
Get their permission before using logos or names.
Security Measures: Unauthorized access attempts to the Services, its systems, or
networks are strictly prohibited.
System Integrity: Actions that could harm, disrupt, or impair the Services, its
components, or contained data are not allowed.
Harmful Content: Sending or storing materials containing viruses, worms, or other
harmful code is forbidden.
Service Disruption: Don't engage in activities that could interfere with the smooth
operation of the Services.
Personal Information: Sharing information belonging to others without their consent,
especially confidential information, is strictly prohibited.
Legal Adherence: Comply with all applicable local, state, national, and
international laws.
Benchmarking: Competitive analysis or benchmarking using the Services is not
permitted.
Intellectual Property: Removing or obscuring proprietary notices within the Services
is forbidden.
National Security: Avoid activities that threaten India's unity, security, or public
order, or promote illegal activities.
Impersonation: Creating false identities to mislead others about the origin of
communications is not allowed.
Misinformation: Spreading demonstrably false and misleading information is strictly
prohibited.
Illegal Activities: Don't utilize the Services in any way associated with or
promoting illegal activities.
Third Party Applications
Cliosight Services integrate with many third-party applications (hereinafter
"Third Party Application(s)").
Individual Terms: Accessing and using any Third-Party Application may necessitate
your acceptance of its specific terms of service and privacy policies ("Third-Party
Terms").
User Responsibility: It is your sole responsibility to review and comprehend these
Third-Party Terms before engaging with any Third-Party Application.
No Liability for External Applications: You acknowledge and agree that Cliosight
assumes no liability associated with any Third-Party Applications.
Potential Service Changes: While we strive to provide advance notice whenever
possible, you acknowledge and agree that Cliosight retains the sole discretion to
suspend, restrict, or disable access to, or entirely remove, any Third-Party
Application from the Cliosight Services at any time and without prior
notification. This action is undertaken without any liability to you, including, but
not limited to, potential losses of profits, revenue, data, goodwill, or other
intangible assets.
Payments and Taxes
The Services are available under subscription plans of various durations. From time
to time, we may change the price of any Service or charge for the use of Services
that are currently available free of charge. Any increase in charges will not apply
until the expiry of your then current billing cycle. You will not be charged for
using any Service unless you have opted for a paid subscription plan.
Should Cliosight become obligated to collect any sales or similar tax (e.g., GST,
VAT) arising from your subscription to our Services, such charges will be levied in
accordance with applicable local, state, provincial, or foreign laws. We will issue
you an invoice for these Taxes ("Taxes"), which must be paid in addition to your
regular subscription fees. The invoice format will comply with the relevant legal
requirements established by the applicable jurisdiction.
Refunds
Cliosight's refund policy is structured to ensure customer satisfaction while upholding its Terms of Service. For monthly subscriptions, customers who are dissatisfied within the first month may contact Cliosight for support. The team will make every effort to address concerns, offer alternative solutions, or propose a resolution timeline. If the issue remains unresolved, a full refund will be issued, and the account will be downgraded to the free plan. Similarly, for annual subscriptions, customers who are dissatisfied within the first 30 days may request assistance. If a satisfactory resolution cannot be reached, a full refund will be granted, and the account will be downgraded accordingly. However, refunds—whether full or pro-rated—will not be provided if an account is terminated, suspended, or blocked due to violations of Cliosight's Terms of Service. Such violations include, but are not limited to, phishing, impersonation, fraud, or other legal infractions. For any refund-related inquiries, customers can reach out to us.Personal Information and Privacy
All personal information you provide through the Service is governed by the Cliosight Privacy Policy found on our website. Using the Service constitutes your acceptance of its terms. You are solely responsible for safeguarding your login credentials, administrator details, and any other sensitive information associated with your account. You own responsibility for all activity within your account and must immediately notify us via email (support@cliosight.co.in) of any unauthorized access or use. Cliosight disclaims any liability for loss or damage to you or any third party arising from unauthorized access, use of your account, or any other breach of our Terms or your outlined responsibilities.
Communications
Your continued use of the Service constitutes your acknowledgment and acceptance of
incidental communications from Cliosight, including service announcements,
administrative messages, and newsletters. These communications are deemed an
inherent part of the Service. While we prioritize absolute user privacy, we offer
the option to opt out of non-transactional communications such as newsletters.
Please note that opting out does not extend to service announcements and
administrative messages, which remain essential for service provision.
Complaints
Upon receiving any user complaint regarding your activities within the Services (excluding situations subject to the "Grievance Redressal" mechanism), we shall forward the complaint to your registered email address. You are obligated to respond directly to the complainant within 10 days of receiving our forwarded communication, copying Cliosight in your response. Failure to respond within this timeframe may result in the disclosure of your name and contact information to the complainant, enabling them to pursue legal action. By not responding within 10 days, you implicitly consent to Cliosight disclosing your information for such purposes.
Grievance Redressal
In case of complaints or grievances related to the use of the Services, you may contact the Grievance Officer at Cliosight. The Grievance Officer will address any concerns or issues you may have. The contact details for the Grievance Officer are as follows:
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.
Miscellaneous
By using the Services, you agree to the terms and conditions set forth in this
Agreement. This Agreement constitutes the entire agreement between you and
Cliosight regarding the use of the Services and supersedes all prior agreements
and understandings, whether written or oral, relating to the Services.
